JAMOAPP END USER LICENSE AGREEMENT (EULA)

IMPORTANT - READ CAREFULLY: This End User License Agreement ("Agreement") is a legal contract between you ("Licensee") and Exynix ("Licensor"), governing your installation and use of the JaMoApp software product, available at exynix.com.

Scope and Parties

This End-User License Agreement ("Agreement") governs your use of JaMoApp software ("Software"). This Agreement is a legal contract between you ("Licensee") and Exynix ("Licensor"), governing your installation and use of the JaMoApp software product, available at exynix.com.

Grant of License

Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Software on a single device.

Restrictions

You must not:

(a) reverse engineer or decompile;
(b) rent, lease, sublicense, distribute, or lend;
(c) use unlawfully or maliciously;
(d) remove or alter privacy or proprietary notices.

License Tiers & Pricing

Demo: 30-day trial, auto-expires.

3-Month / 6-Month / 1-Year options with reminders and grace periods. All fees are due in advance. VAT handling is as displayed. If Exynix qualifies for Austria's small-business exemption (? 6 Abs 1 Z 27 UStG), no VAT applies.

Withdrawal Rights for Consumers

You agree that Exynix will begin providing the digital content immediately after purchase. By giving your explicit consent and acknowledgment, you waive your statutory withdrawal right once the download or activation has begun, in accordance with applicable law.

Exynix will send you an order confirmation on a durable medium (e.g., email) including your consent, acknowledgment, and all pre-contract information required by applicable law.

Checkbox text:

"I expressly request that Exynix begins providing the digital content before the end of the 14-day withdrawal period. I acknowledge that I will lose my withdrawal right once the download or activation begins."

Pre-contract Information

Before purchase, Exynix supplies essential details required by applicable law: features, pricing, compatibility, withdrawal terms, etc.

Warranty Disclaimer

The Software is provided "as is," without any implied warranties.

Limitation of Liability

In no event shall Licensor or its affiliates be liable for any special, incidental, indirect or consequential damages arising out of use or inability to use the Software Product, even if advised of the possibility of such damages.

MODIFICATION OF TERMS

Licensor may amend or modify this Agreement at any time by posting updated terms within the Software or on its website. Continued use of the Software after the posting of updated terms constitutes acceptance of those changes.

Termination

Your license auto-terminates if you breach terms or on expiry. You must uninstall and stop using the Software.

Intellectual Property

All IP rights are retained by Exynix or its licensors.

Data Protection

Personal data is processed for contract execution and security. Full details appear in the Privacy Policy.

Open-Source Components

Any open-source software is governed by its license, which overrides this Agreement only for those components.

INDEMNIFICATION

Licensee agrees to indemnify, defend and hold harmless Licensor and its affiliates from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Licensee's use of the Software or breach of this Agreement.

Modification of Software / Updates

Exynix may update its Software without providing prior notice.

Governing Law & Venue

This Agreement is governed by Austrian law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute shall be resolved exclusively in the courts of Vienna, Austria.

Entire Agreement

This Agreement constitutes the entire agreement between Licensee and Licensor regarding the Software and supersedes all prior or contemporaneous communications.
